1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User") and CabMeet ("Company," "we," "us," or "our"), concerning your access to and use of the www.cabmeet.com website, the CabMeet mobile application, and any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Platform").
2. CabMeet Platform
The Platform is an online marketplace that enables registered users ("Members") and certain third parties who offer services (Members who offer services are "Hosts" and the services they offer are "Workspace Services") to publish such Workspace Services on the Platform ("Listings") and to communicate and transact directly with Members that are seeking to book such Workspace Services (Members using Workspace Services are "Guests"). CabMeet is not a party to the rental contracts concluded directly between Hosts and Guests.
3. User Registration and Account
To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account.
4. Bookings, Payments, and Fees
- Fees: CabMeet may charge fees to Hosts ("Host Fees") and/or Guests ("Guest Fees") (collectively, "Service Fees") in consideration for the use of the Platform.
- Booking: Guests can book a Listing by following the respective booking process. You agree to pay the Total Fees for any booking requested.
- Payment: You authorize CabMeet, through its third-party payment processor, to charge your payment method for the Total Fees. We do not store your payment card details.
- Taxes: You are responsible for paying any taxes associated with your use of the Platform.
5. Cancellations, Refunds, and Modifications
- Cancellation Policies: Hosts are responsible for setting their cancellation policies. Each Listing will clearly state the applicable cancellation policy. Guests are responsible for reviewing and understanding the cancellation policy before booking.
- Modifications: Guests and Hosts are responsible for any booking modifications they agree to make via the Platform and agree to pay any additional amounts, fees, or taxes associated with any such modification.
6. User Conduct and Responsibilities
You agree to comply with all applicable laws and regulations and the terms of this agreement. You are responsible for your own acts and omissions and are also responsible for the acts and omissions of any individuals whom you invite to, or provide access to, the Workspace. You must not use the Platform to post or transmit any material that is infringing, defamatory, obscene, or otherwise unlawful.
7. User-Generated Content
You may be able to post, upload, or otherwise submit content to the Platform ("User Content"). You grant CabMeet a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable license to use, reproduce, modify, and display your User Content in connection with the Platform.
8. Intellectual Property
All content on the Platform, including text, graphics, logos, and software, is the property of CabMeet or its licensors and is protected by copyright and other intellectual property laws.
9. Disclaimers
The Platform is provided "as is" and "as available" without warranty of any kind. We disclaim all warranties, whether express or implied, including the warranties of merchantability, fitness for a particular purpose, and non-infringement. CabMeet makes no warranty that the Platform, Listings, or Workspace Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall CabMeet, its affiliates, agents, directors, employees, or suppliers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, this Platform.
Under no circumstances will CabMeet be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the service or your account or the information contained therein.
Our total liability to you for any and all claims arising out of or relating to these Terms or your use of the Platform is limited to the greater of (a) the amount of fees paid by you to CabMeet in the 12 months prior to the event giving rise to the liability, or (b) $100.00 USD.
11. Indemnification
You agree to defend, indemnify, and hold harmless CabMeet and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Platform, or (ii) your violation of these Terms.
12. Dispute Resolution: Arbitration and Class Action Waiver
- Governing Law: These Terms shall be governed by the laws of Ghana, without regard to its conflict of law principles.
- Binding Arbitration: Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Accra, Ghana.
- Class Action Waiver: You and CabMeet agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
13. General Provisions
- Entire Agreement: These Terms constitute the entire and exclusive understanding and agreement between CabMeet and you regarding the Platform.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
- Notices: Any notices or other communications permitted or required hereunder will be in writing and given by CabMeet via email or by posting to the Platform.
